(서울=뉴스1) 윤다정 기자 = 파라마운트 스카이댄스가 22일(현지시간) 워너브러더스 디스커버리(WBD)에 파라마운트 최고경영자(CEO) 데이비드 엘리슨의 부친인 억만장자 래리 엘리슨의 지원을 보장하겠다는 수정된 인수 제안을 내놨다.
CNBC에 따르면,파라마운트는 이날 보도자료를 내고 "래리 엘리슨은 이번 인수 제안을 위한 자기자본 금융 404억 달러(약 59조 8100억 원) 전액과 파라마운트를 상대로 제기될 수 있는 모든 손해배상 청구에 대해 취소 불가능한 개인 보증을 제공하는 데 동의했다"고 밝혔다.
그러면서 "래리 엘리슨은 거래가 진행되는 동안 엘리슨 가문 신탁을 철회하거나 자산을 불리하게 이전하지 않기로 합의했다"고 덧붙였다.
파라마운트는 인수 제안 가격을 인상하지는 않았으나 자사의 제안이 더 우수하다는 입장을 재확인하는 한편,넷플릭스의 제안과 동일한 수준으로 역(逆) 해지 수수료를 상향 조정했다.
지난 5일 넷플릭스는 WBD TV·영화 스튜디오와 스트리밍(HBO 맥스) 부문을 720억 달러(약 106조 원)에 인수하기로 합의했다.터너스포츠,신규슬롯사이트 htmlCNN 등 케이블 부문은 포함되지 않았다.
이에 입찰 경쟁에서 탈락한 파라마운트가 WBD 전체에 대해 1084억 달러(약 142조 원) 규모의 적대적 인수를 주주들에게 제안했다.
