서울중앙지법이 고려아연의 미국 제련소 투자를 위한 제3자 배정 유상증자를 막아달라는 영풍 측의 가처분 신청을 기각하면서 영풍 주가가 급락했다.
24일 한국거래소에 따르면 영풍은 전 거래일 대비 5200원(9.32%) 내린 5만 600원에 거래를 마감했다.주가는 상승 출발해 오름세를 유지하다가 법원의 결정 소식이 전해진 이후 급격히 하락 전환했다.장 중 한때 4만 9950원까지 밀리기도 했다.
고려아연 주가는 같은 날 직전 거래일 대비 4만 원(2.95%) 내린 131만 6000원에 장을 마쳤다.장 초반 등락을 거듭하던 주가는 법원 판단이 전해진 직후 상승세로 돌아서며 한때 142만 4000원까지 치솟았다.하지만 이후 차익 실현 매물이 출회하면서 결국 하락 마감했다.
서울중앙지법 민사합의50부(김상훈 수석부장판사)는 이날 영풍과 MBK파트너스가 고려아연을 상대로 제기한 신주 발행 금지 가처분 신청을 기각하고 양측에 결정문을 송달했다.
앞서 고려아연은 미국 테네시주에 11조 원 규모의 통합 비철금속 제련소를 건설하겠다고 발표했다.이후 투자 재원 마련을 위해 현지 합작법인인 크루서블JV를 대상으로 약 2조 8510억 원 규모의 제3자 배정 유상증자를 결정했다고 공시했다.
이에 대해 영풍과 MBK는 해당 유상증자가 사업적 상식에 반하는 경영권 방어용 조치라고 주장하며 법원에 가처분을 신청했다.그러나 재판부는 신주 발행에 경영상 필요성이 존재한다고 판단했다.
재판부는 미국 제련소 프로젝트 추진을 위한 자금 조달이라는 목적이 인정된다며 다른 자금 조달 방식에 비해 현저히 부당하거나 불합리하다고 보기 어렵다고 밝혔다.신주 발행으로 지배권 구도에 일부 변화가 발생할 가능성은 있으나 이를 결정적으로 바꾸는 수준은 아니라는 점도 판단 근거로 제시했다.
