코스피 상장사 신세계푸드가 사업구조 개편에 속도를 내기 위해 상장폐지를 목표로 한 공개매수를 실시한다.
14일 투자은행(IB) 업계에 따르면 신세계푸드의 최대주주인 이마트는 보통주 146만 7319주(총 37.89%)에 대해 1주당 4만 8120원에 공개매수를 실시할 계획이다.공개매수가 모두 성공할 경우 매수 금액은 약 706억 원에 해당한다.주관사는 신한투자증권이다.
공개매수에 응하려는 주주는 12월 15일부터 내년 1월 5일까지 22일간 신한투자증권 본점과 지점에 청약하면 된다.12일 기준 신세계푸드는 주당 4만 100원에 장을 마쳤는데 차익을 기대한 주주들이 참여할 것으로 예상된다.
이마트는 이번 공개매수 직전인 12일 시간외 대량매매 방식으로 조선호텔앤리조트가 보유하고 있던 신세계푸드 주식 33만2910주를 약 160억 원에 취득하기도 했다.
신세계그룹이 신세계푸드의 상장폐지를 추진하는 배경은 급식사업부 매각으로 한 차례 구조조정을 거친 뒤 경영 효율성을 높이기 위한 선택으로 풀이된다.신세계푸드는 2024년 12월 단체급식사업부를 한화호텔앤드리조트 계열사 아워홈의 자회사인 메드갤러리아에 1200억 원에 매각했다.신세계푸드 매출의 18%를 차지했으나,유흥 정보 사이트 슬롯보증주력사업과 거리가 있고 대형화하는 경쟁사 대비 한계가 있다는 평가가 나왔다.
