경영권 분쟁 새 국면 맞을 듯고려아연이 미국 제련소 건설 프로젝트를 예정대로 진행할 수 있게 됐다.MBK파트너스·영풍 연합이 고려아연을 상대로 “제3자 배정 유상증자를 통해 지분 10%를 미국 정부에 넘기는 것을 막아달라”며 제기한 가처분 신청을 법원이 기각해서다.최윤범 고려아연 회장이 미국 정부를 우군으로 확보한 만큼 MBK·영풍과의 경영권 분쟁은 새로운 구도를 맞게 됐다. 서울중앙지방법원 민사합의50부(수석부장판사 김상훈)는 MBK·영풍 연합이 고려아연을 상대로 낸 신주발행 금지 가처분 신청을 기각했다.법원은 “이번 유상증자는 미국의 핵심광물 글로벌 공급망 재편과 한·미 협력 강화,컴투스 블록체인 게임고려아연의 글로벌 수요처 확보 등을 목적으로 추진된 거래로 보인다”고 했다. 
고려아연은 지난 15일 임시이사회를 열고 미국 테네시주 클라크스빌에 74억3200만달러(약 10조9000억원)를 투자해 제련소를 짓기로 결정했다.2027년 착공해 2029년 상업 가동할 예정이다.아연,컴투스 블록체인 게임금,컴투스 블록체인 게임은뿐만 아니라 안티모니,컴투스 블록체인 게임인듐 등 13종의 금속과 반도체용 황산을 생산할 계획이다.
제련소 건설은 미국 정부가 합작법인(JV)을 세워 투자하는 방식으로 이뤄진다.JV 최대주주(지분 40.1%)는 미 전쟁부(국방부)다.고려아연은 이 JV에 고려아연 지분 10%를 제3자 배정 유상증자를 통해 넘긴다.
최 회장은 고려아연 경영권을 두고 MBK·영풍 측과 분쟁을 벌이고 있다.현재 고려아연 이사회는 최 회장 측 11명 대 MBK·영풍 측 4명으로 구성돼 있다.하지만 지분율에서는 MBK·영풍에 밀리는 상황이다.JV가 고려아연 지분 10%를 보유하게 되면 최 회장 측 우호 지분이 될 가능성이 높다.
법원은 양측 주장을 검토한 끝에 제3자 배정 유상증자 필요성을 인정하며 고려아연의 손을 들어줬다.고려아연이 예정대로 26일 유상증자 대금을 납입하고 220만9716주를 신주로 발행하면 영풍·MBK 측 지분(의결권 기준)은 47.21%에서 42.10%로 낮아질 수 있다.현재 우호 지분을 포함해 34.45%의 지분을 가진 최 회장 측 지분은 미 정부 측 지분을 포함하면 41.80%로 올라선다.
