금융당국이 국내 주요 가상화폐거래소 대주주 지분율을 15~20%로 제안하는 방안을 디지털자산기본법(가상자산 2단계법)에 포함하는 것으로 알려졌다.국내 4대 거래소 모두 대주주의 지분율이 이 기준을 웃돌고 있어 이 방안이 도입될 경우 지배구조의 근간이 흔들릴 것으로 예상된다.특히 주식 교환을 추진 중인 네이버와 두나무 간 합병에 새로운 변수로 작용할 전망이다.
30일 금융계에 따르면 금융위는 지난주 민주당 디지털자산 태스크포스(TF)에 이같은 내용을 담은 '디지털자산기본법 규율 주요내용(안)'을 제출했다.
보고서에 따르면 금융위는 “국내 주요 가상화폐거래소의 운용 수익이 특정 개인(소수의 창업자와 주주)에게 집중되는 소유 구조를 개선해야 한다”고 지적하며 자본시장법상 대체거래소(ATS) 수준에 준하는 '대주주 적격성 심사 체계'를 확립해야 한다고 제시했다.
구체적으로는 대주주의 소유 분산 기준을 15~20% 사이로 제한하는 방안을 제안했다.현행 자본시장법상 대체거래소는 특수관계인을 포함해 의결권 주식의 15%를 초과 소유할 수 없다.
이 같은 기준이 확정될 경우 국내 1위 거래소인 업비트 운영사 두나무가 가장 큰 타격을 받을 수 있다.현재 송치형 두나무 회장의 지분율은 25%로 정부안이 적용되면 송 회장은 지분은 최대 10%가량을 강제 매각해야 할 수 있다.
빗썸과 코인원 등 다른 거래소도 마찬가지다.빗썸은 전체 지분의 73%를 (주)빗썸홀딩스가 보유하고 있고 코인원도 차명훈 의장이 54%를 보유하고 있다.
다만 거래소 대주주 지분 규제를 포함한 2단계 입법안은 아직 최종 정부안이 도출되지 않은 상태다.
