75억원 투입해 제조 인프라 확보
5000평 공장 기반 대형 수주 대응[이데일리 김현아 기자] 지능형 로봇 전문기업 나우로보틱스가 로봇·자동화 전문기업 한양로보틱스 인수를 위한 주식매매계약(SPA)을 체결했다.
나우로보틱스(459510)는 14일 공시를 통해 한양로보틱스 지분을 자기주식 제외 희석기준 99.96%까지 확보하는 내용의 계약을 맺었으며,인수 금액은 약 75억원 규모라고 밝혔다.
이번 거래로 나우로보틱스는 한양로보틱스의 생산 인프라와 고객 기반을 동시에 확보한다.한양로보틱스는 1997년 설립 이후 취출 로봇과 산업자동화 분야에서 사업을 전개해왔고,삼성전자·LG전자·현대모비스·기아·포스코 등 국내외 약 3,000개 고객사를 보유한 것으로 알려졌다. 
생산 캐파 확충이 거래의 핵심 축으로 꼽힌다.나우로보틱스는 이번 인수로 약 5,000평 규모의 즉시 활용 가능한 생산공장을 확보해,현재 건설 중인 2공장과 함께 대규모 수주에 대응할 수 있는 체계를 갖추겠다는 구상이다.산업용 로봇과 물류 로봇 양산 확대는 물론,개발 중인 산업용 휴머노이드 로봇의 향후 양산 라인 구축에도 활용한다는 계획이다.
해외 거점 활용도 시너지 포인트다.한양로보틱스가 보유한 미국·멕시코·동남아 등 해외 네트워크를 활용해 글로벌 고객 대응 역량을 강화하고,블랙잭 에이스해외 시장 확대 기반을 본격적으로 구축하겠다는 전략을 제시했다.
주주구조 측면에서 나우로보틱스의 최대주주는 이종주 대표이사다.2025년 3분기 말 기준 이 대표의 지분율은 45.00%,최대주주 및 특수관계인 합산은 45.07%다.
한양로보틱스는 비상장사로 공시 접근성이 제한적이지만,블랙잭 에이스2022년 말 기준 강종원 대표의 보유 지분율이 46.1%로 전해졌다.
이번 거래가 완료되면 나우로보틱스가 한양로보틱스 지분 대부분을 확보하는 만큼,지배구조는 인수자 중심으로 재편될 전망이다.
업계에서는 이종주 대표가 과거 한양로보틱스에서 근무한 이력이 있는 만큼,인수 이후 통합(PMI) 과정에서 조직 적응 비용을 낮추고 조기 시너지를 끌어낼 가능성이 있다는 평가도 나온다.나우로보틱스는 향후 단계적인 통합을 통해 생산·영업·기술·운영 전반의 효율을 높이고,확대된 생산 인프라와 포트폴리오를 기반으로 성장 국면을 열겠다는 입장이다.
